Paz.ai Terms of Use

1. Introduction and Acceptance

AgentPass, Inc. ("Company", "AgentPass", "Paz.ai", "we", "us", or "our") is the owner and operator of the Paz.ai Agentic Commerce Platform ("Platform") that enables AI agents to interact with our business partners' ("Partners") ecommerce systems, websites, platforms, applications, or other digital assets ("Partner Systems"). These Terms of Use ("Terms") govern your access to and use of our Platform and related services ("Services"), including our website at https://paz.ai ("Website").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree with these Terms, you must not access or use our Services.

Acceptance of Terms

Please read these Terms carefully before using our Services. By clicking "I Agree", creating an account, accessing our Services, or using our Platform in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms. These Terms constitute a binding and enforceable legal contract between you and Paz.ai.

User Categories

These Terms apply to all users of our Services, including:

• End-Users: Individuals who interact with Partner ecommerce systems through AI agents enabled by our Platform to browse products, manage carts, or complete transactions
• Partners: Businesses, merchants, retailers, and other commercial entities who integrate our Platform with their ecommerce systems
• Visitors: Individuals who access our Website or documentation

All categories are collectively referred to as "you" or "Users" in these Terms.

2. Eligibility and Age Requirements

By using our Services, you represent and warrant that:

• You have the legal capacity to enter into binding contracts
• You are not barred from using the Services under applicable laws
• You are not located in a country subject to U.S. government embargo or designated as a "terrorist supporting" country
• You are not listed on any U.S. government list of prohibited or restricted parties
• You are at least 16 years of age or the minimum age of digital consent in your jurisdiction, whichever is higher
• If representing an organization, you have authority to bind that organization to these Terms

3. Description of Services

Our Platform

Paz.ai provides infrastructure that enables seamless commerce transactions between AI agents and Partner ecommerce systems. Our Platform supports various protocols including the Agentic Commerce Protocol (ACP), Model Context Protocol (MCP), and other integration methods.

For End-Users

When you interact with a Partner's ecommerce system through an AI agent (such as ChatGPT, Claude, Gemini, or others), our Platform facilitates:

• Product Discovery: Browse and search Partner catalogs through natural language
• Cart Management: Add, remove, or modify items in your shopping cart
• Transaction Processing: Complete purchases with the Partner's payment systems
• Order Management: Track and manage orders placed through AI agents

Important Notice: Paz.ai operates as a technical intermediary. We facilitate data transmission between AI agents and Partner systems but do not store your personal or payment information, process payments directly, fulfill orders, set prices, or provide customer service for purchases.

11. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND.

We do not warrant that:

• The Services will be uninterrupted or error-free
• Defects will be corrected
• The Services are free of viruses or harmful components
• The Services will meet your requirements
• Results obtained will be accurate or reliable

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PAZ.AI SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, consequential, or punitive damages
• Lost profits, revenue, or business opportunities
• Loss or corruption of data
• Cost of substitute services

OUR AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF:

• One hundred U.S. dollars ($100)
• Amounts paid by you to Paz.ai in the 12 months preceding the claim

15. Dispute Resolution

Governing Law

These Terms are governed by the laws of the State of California, USA, without regard to conflict of law principles.

Jurisdiction and Venue

Any disputes not resolved informally shall be resolved exclusively in the state or federal courts located in San Francisco County, California. You consent to personal jurisdiction and venue in these courts.
